Introduction and acceptance

These Terms and Conditions ("Terms") govern your relationship with the Costa Rica Global Association of Realtors ("CRGAR", "we", "our") as a registered member of the CRGAR member portal at members.crgar.net.

By creating an account, completing a profile, or using the portal in any way, you confirm that you have read, understood, and accepted these Terms in full.

These Terms apply in addition to your CRGAR membership agreement. In the event of conflict between this document and the membership agreement, the membership agreement controls.

Membership eligibility

To register and maintain a profile on the portal, you must:

• Be a current dues-paying member of CRGAR in good standing.
• Provide an email address that appears on the CRGAR-authorized member list (the "whitelist").
• Be a real estate professional licensed or otherwise authorized to operate in the Republic of Costa Rica.
• Be at least eighteen (18) years of age and legally capable of entering into a binding agreement.

If your CRGAR membership lapses, expires, or is revoked, your portal profile will be suspended automatically.

Member responsibilities and content accuracy

You are solely responsible for the accuracy of all information you submit to the portal. By submitting any content, you warrant that:

• Your name, photograph, professional credentials, certifications, contact information, and bio are true, current, and accurate.
• Any property listings you display are properties you are duly authorized to market.
• You will keep your profile up to date and promptly correct any inaccuracies.
• You will not submit false credentials, misleading marketing claims, or content that infringes the intellectual property rights of others.
• You will not use the portal to engage in fraudulent, deceptive, or unlawful activity.
• You comply with all applicable Costa Rican real estate laws, regulations, and professional standards, including those governing advertising, anti-money-laundering, and consumer protection.

Indemnification of CRGAR

You agree to defend, indemnify, and hold harmless CRGAR, its directors, officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• The content you submit, display, or transmit through the portal.
• Any property listing, marketing claim, or representation you make through the portal.
• Your interactions with clients, prospects, or other third parties resulting from the portal.
• Your breach of these Terms or any applicable law.

CRGAR operates the portal as a directory service. You — not CRGAR — are the responsible party for the content of your profile and for any transactions or relationships that originate through it.

Suspension and termination

CRGAR may suspend, hide, or remove your profile at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms or any applicable law.
• Submission of false credentials or misleading content.
• Lapse, expiration, or revocation of your CRGAR membership.
• Substantiated complaints from clients or third parties.
• Order of a competent court or regulatory authority.

You may request deletion of your account at any time through the dashboard. Account deletion enters a thirty (30) day soft-delete period during which the profile is hidden but recoverable. After thirty days, the account is permanently deleted, except where retention is required by law.

Termination of your portal account does not refund any CRGAR membership fees, which are governed by your separate membership agreement with CRGAR.

Limitation of liability

The portal is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by Costa Rican law, CRGAR shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, business opportunities, data, or goodwill.
• The conduct of any client, prospect, or third party who contacts you through the portal.
• The outcome of any real estate transaction, deal, or relationship initiated through the portal.
• Service interruptions, downtime, or data loss caused by third-party providers (hosting, email, analytics).

If despite the foregoing CRGAR is found liable, its maximum aggregate liability to you for all claims arising in any twelve (12) month period shall not exceed the total fees you paid to CRGAR for portal-related services during that period.

Intellectual property

Your content remains yours. You retain ownership of the photographs, biography, certifications, listing details, and any other materials you submit to the portal.

By submitting content, you grant CRGAR a non-exclusive, royalty-free, worldwide license to display, store, and reproduce your content for the limited purpose of operating the portal and marketing CRGAR membership. This license terminates when you delete your account, except for content already incorporated into archived audit logs or backups.

CRGAR retains all rights to its name, logo, branding, and the portal's underlying software, design, and interface.

Modifications to these terms

CRGAR may update these Terms from time to time to reflect changes in law, services, or operations. When material changes are made, we will:

• Notify you by email at the address on file.
• Display a re-acceptance prompt the next time you sign in.
• Indicate the new version number and effective date at the top of this page.

Continued use of the portal after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not accept the revised Terms, your sole remedy is to discontinue use of the portal and request deletion of your account.

Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to its conflict-of-laws principles.

Any dispute arising under or in connection with these Terms shall first be addressed through good-faith negotiation between the parties.

If the parties cannot resolve the dispute within thirty (30) days, the dispute shall be submitted to mediation through a recognized mediation center in San José, Costa Rica.

If mediation does not resolve the dispute within sixty (60) additional days, the parties consent to the exclusive jurisdiction of the courts of San José, Costa Rica.

Introducción y aceptación

Estos Términos y Condiciones ("Términos") rigen su relación con la Asociación Global de Realtors de Costa Rica ("CRGAR", "nosotros", "nuestro") como miembro registrado del portal en members.crgar.net.

Al crear una cuenta, completar un perfil, o usar el portal de cualquier manera, usted confirma que ha leído, entendido y aceptado estos Términos en su totalidad.

Estos Términos aplican adicionalmente a su acuerdo de membresía CRGAR. En caso de conflicto entre este documento y el acuerdo de membresía, el acuerdo de membresía prevalecerá.

Elegibilidad de membresía

Para registrarse y mantener un perfil en el portal, usted debe:

• Ser miembro activo de CRGAR con sus cuotas al día.
• Proporcionar una dirección de correo electrónico que aparezca en la lista de miembros autorizados de CRGAR (la "lista blanca").
• Ser un profesional inmobiliario con licencia o autorización para operar en la República de Costa Rica.
• Tener al menos dieciocho (18) años de edad y capacidad legal para celebrar un acuerdo vinculante.

Si su membresía CRGAR caduca, expira o es revocada, su perfil del portal será suspendido automáticamente.

Responsabilidades del miembro y precisión del contenido

Usted es el único responsable de la precisión de toda la información que envíe al portal. Al enviar contenido, usted garantiza que:

• Su nombre, fotografía, credenciales profesionales, certificaciones, información de contacto y biografía son verdaderos, actuales y precisos.
• Las propiedades que muestre son propiedades que está debidamente autorizado para comercializar.
• Mantendrá su perfil actualizado y corregirá cualquier inexactitud sin demora.
• No enviará credenciales falsas, afirmaciones de marketing engañosas, ni contenido que infrinja los derechos de propiedad intelectual de terceros.
• No usará el portal para actividades fraudulentas, engañosas, o ilegales.
• Cumple con todas las leyes y regulaciones inmobiliarias aplicables en Costa Rica, incluyendo las que rigen publicidad, anti-lavado de dinero y protección al consumidor.

Indemnización a CRGAR

Usted acepta defender, indemnizar y mantener indemne a CRGAR, sus directores, funcionarios, empleados y agentes de toda reclamación, daño, pérdida, responsabilidad, costo o gasto (incluyendo honorarios legales razonables) que surja en relación con:

• El contenido que envíe, muestre o transmita a través del portal.
• Cualquier propiedad listada, afirmación de marketing o representación que haga a través del portal.
• Sus interacciones con clientes, prospectos u otros terceros que resulten del portal.
• Su incumplimiento de estos Términos o cualquier ley aplicable.

CRGAR opera el portal como un servicio de directorio. Usted — no CRGAR — es la parte responsable del contenido de su perfil y de cualquier transacción o relación que se origine a través de él.

Suspensión y terminación

CRGAR puede suspender, ocultar o eliminar su perfil en cualquier momento, con o sin previo aviso, por razones que incluyen pero no se limitan a:

• Violación de estos Términos o cualquier ley aplicable.
• Envío de credenciales falsas o contenido engañoso.
• Caducidad, expiración o revocación de su membresía CRGAR.
• Quejas fundamentadas de clientes o terceros.
• Orden de un tribunal competente o autoridad reguladora.

Usted puede solicitar la eliminación de su cuenta en cualquier momento desde el dashboard. La eliminación inicia un período de eliminación suave de treinta (30) días durante el cual el perfil se oculta pero es recuperable. Después de treinta días, la cuenta se elimina permanentemente, excepto cuando la retención sea requerida por ley.

La terminación de su cuenta del portal no reembolsa ninguna cuota de membresía CRGAR, las cuales se rigen por su acuerdo de membresía separado con CRGAR.

Limitación de responsabilidad

El portal se proporciona "tal cual" y "según disponibilidad", sin garantías de ningún tipo, expresas o implícitas, incluyendo garantías de comerciabilidad, idoneidad para un propósito particular, o no-infracción.

En la máxima medida permitida por la ley costarricense, CRGAR no será responsable por:

• Daños indirectos, incidentales, especiales, consecuenciales o punitivos.
• Pérdida de ganancias, oportunidades de negocio, datos o reputación.
• La conducta de cualquier cliente, prospecto o tercero que lo contacte a través del portal.
• El resultado de cualquier transacción, negocio o relación inmobiliaria iniciada a través del portal.
• Interrupciones del servicio, tiempo de inactividad o pérdida de datos causados por proveedores externos (hospedaje, correo electrónico, analítica).

Si a pesar de lo anterior CRGAR fuera responsable, su responsabilidad máxima agregada hacia usted por todas las reclamaciones que surjan en cualquier período de doce (12) meses no excederá el total de las cuotas que usted pagó a CRGAR por servicios relacionados con el portal durante ese período.

Propiedad intelectual

Su contenido sigue siendo suyo. Usted conserva la propiedad de las fotografías, biografía, certificaciones, detalles de propiedades y cualquier otro material que envíe al portal.

Al enviar contenido, usted otorga a CRGAR una licencia no exclusiva, libre de regalías y mundial para mostrar, almacenar y reproducir su contenido con el propósito limitado de operar el portal y promover la membresía CRGAR. Esta licencia termina cuando usted elimina su cuenta, excepto por contenido ya incorporado en registros de auditoría archivados o respaldos.

CRGAR conserva todos los derechos sobre su nombre, logo, marca, y el software, diseño e interfaz subyacente del portal.

Modificaciones a estos términos

CRGAR puede actualizar estos Términos de tiempo en tiempo para reflejar cambios en la ley, los servicios o las operaciones. Cuando se realicen cambios materiales:

• Le notificaremos por correo electrónico a la dirección registrada.
• Mostraremos un aviso de re-aceptación la próxima vez que inicie sesión.
• Indicaremos el nuevo número de versión y fecha de vigencia en la parte superior de esta página.

El uso continuado del portal después de la fecha de vigencia de los Términos revisados constituye su aceptación de esos cambios. Si no acepta los Términos revisados, su único recurso es interrumpir el uso del portal y solicitar la eliminación de su cuenta.

Ley aplicable y resolución de disputas

Estos Términos se rigen e interpretan de acuerdo con las leyes de la República de Costa Rica, sin consideración de sus principios sobre conflicto de leyes.

Cualquier disputa que surja en virtud de o en conexión con estos Términos se abordará primero mediante negociación de buena fe entre las partes.

Si las partes no pueden resolver la disputa dentro de treinta (30) días, la disputa se someterá a mediación a través de un centro de mediación reconocido en San José, Costa Rica.

Si la mediación no resuelve la disputa dentro de sesenta (60) días adicionales, las partes consienten a la jurisdicción exclusiva de los tribunales de San José, Costa Rica.
